Macdonald Henderson is delighted to note its placing as one of the top three corporate law firms in Scotland in terms of number of MBOs (management buyouts) completed in 2015/16.

The results of the deal table, which is published by Scottish Business Insider in its 2016 Yearbook, caps a busy year for Macdonald Henderson where the firm completed over thirty acquisitions, disposals, investments and restructures (including unreported deals).

Management buyouts might be seen as a barometer of confidence in the market place, requiring a demonstration of commitment and faith in the business, by not only the management team, but also the vendor(s) (who place their faith in the team to deliver the (often deferred) consideration) and, crucially, by the funders to the deal.

On that note, there continues to be improved access to funding, with banks and other debt and equity providers keen to invest capital, in some cases leading to competitive rates and terms. Ambitious and well-balanced management teams who have a compelling business plan should find themselves in an increasingly benign environment in which to structure deals.

Overall, it was a positive 12 months on the Scottish deal-making front, with a rise in both the number of deals (up 20% to 632 reported deals) and the value (up a quarter to £18.5bn), particularly impressive given the low/volatile oil prices over the period.

It remains to be seen what impact the result of the EU referendum will have on market sentiment and activity in the months and years to come.
