As a small but growing business we require legal advice and support on a range of commercial matters. Macdonald Henderson’s focus on the needs of businesses such as ours was a deciding factor in appointing them our company solicitors. Since then we have had advice on dealing with a difficult shareholder, a commercial dispute and a major refinancing of the business. All dealt with quickly and to the highest professional standard, and cost effectively.

We used Macdonald Henderson as our legal advisors in a relatively complex company asset purchase. The acquisition involved the purchasing of the assets of a UK registered company where 100% of the equity was held by a company registered in the Turks and Caicos Islands.

This was complicated by the main shareholder of the company making the purchase being a director of the UK company selling the assets plus having an interest in the equity holding company based in the Turks and Caicos.

Macdonald Henderson provided us with a framework for the deal that was acceptable to all parties and also ensured that the Director involved in all companies could not be accused at a later date of favouring any one company. Once this framework was agreed, Macdonald Henderson turned around the contractual documentation very quickly, covering areas of the purchase such as intellectual property protection, asset identification, due diligence, VAT implications and Companies House requirements.

Overall we found the advice offered by Macdonald Henderson, both at company and director level, to be helpful, concise and direct to the point. Their attention to detail in the main contracts was very thorough and any amendments necessary to these contracts were completed rapidly.

Macdonald Henderson acted for us in the acquisition of Premier Laboratory Systems Ltd. They responded quickly to our request for help and handled the work efficiently throughout. Their costs were very fair and the quality of the work was excellent.
